
Matt Greenfield is a corporate attorney whose practice focuses on mergers and acquisitions, corporate governance, and general corporate matters. Since joining Caldera Law in 2021, Matt has become a trusted advisor to clients navigating complex transactions across the full business lifecycle, from entity formation and corporate structuring to acquisitions and exits.
Matt has significant experience representing both buyers and sellers in M&A transactions across a variety of industries including healthcare, technology, hospitality, food and beverage, and professional services. On the buy-side, he has experience advising private equity-backed acquirers on multi-state roll-up strategies, including asset and stock acquisitions. On the sell-side, Matt has guided business owners through strategic asset and equity sales, resulting in successful exits for both founders and investors.
In addition to his M&A practice, Matt regularly serves as outside general counsel for emerging and established companies. He has assisted clients with corporate structuring, entity formation, and the preparation of governing documents, equity incentive plans, and investor documentation. Matt enjoys the opportunity to work with early-stage companies to assist them in setting a solid legal foundation on which their business can grow for years to come.

Matt graduated from the University of Michigan in 2016 and the Benjamin N. Cardozo School of Law in 2019. He is admitted to practice in both Florida and New York. Outside of the office, you can find him either on the golf course, watching the Miami Dolphins or Miami Heat, or at home with his wife Sara, their daughter Olivia, and dog Duncan.
